These terms and conditions (Terms) form a contract between you and Red Media Live Ltd (Red Media, we, us) when you buy or use a ticket (Ticket) to attend one of our events (Event) at any venue (Venue). These Terms contain important information so please read them carefully and make sure you understand them prior to purchase.

By buying, holding or using a Ticket, you agree to these Terms. If you bring any guests (each a Guest) to the Event, you must ensure they also follow these Terms.

Section 01

Buying Tickets

1.1
A booking must be made by a person aged 18 years or over. Age restrictions apply to some Ticket types and Events. Please check carefully before you book and, when attending the Venue, please carry photographic proof of age, which may be inspected in accordance with these Terms.
1.2
Ticket sales are facilitated by a third party ticketing platform, TicketTailor.com (operated by Zimma Ltd) (Ticketing Platform). Your use of the Ticketing Platform is also subject to their terms. If there is a conflict between these Terms and the Ticketing Platform’s terms, these Terms take priority.
1.3
The version of these Terms in force on the day you purchase the Ticket shall apply to you and your Guests. We may update these Terms from time to time for future purchases, and any changes will be published on the Red Media Website. Accordingly, you should check these Terms each time you make a purchase.
Section 02

Ticket Purchase

2.1
You can only buy Tickets from us through our website (the Red Media Website). Tickets purchased or obtained from any other source shall be voidable by us or the Venue (at our option) and may be seized or cancelled by us or the Venue without refund or compensation.
2.2
All prices are inclusive of any applicable taxes. Our Ticketing Platform will state the face value of the Ticket and in addition to this may charge a booking fee, transaction fee, or administrative charge. These fees will be indicated on the Red Media Website.
2.3
At checkout, you may be offered the option to purchase refund protection for your Ticket for an additional fee. Refund protection is provided by a third party, XCover, and is subject to XCover’s terms and conditions. If you purchase refund protection and are subsequently unable to attend the Event for any reason, you may request a refund of the Ticket face value in accordance with XCover’s terms. Refund protection does not cover booking fees, transaction fees or other service charges. Refund protection may not always be made available and is provided at Red Media’s sole discretion.
2.4
All Tickets are subject to availability and orders are subject to acceptance by us and/or our Ticketing Platform. On acceptance of your order we and/or our Ticketing Platform shall send you a confirmatory email to the email address provided by you to us in the booking form.
2.5
The information provided to us and/or our Ticketing Platform when you place an order will be used to contact you and/or to fulfil any orders. You should ensure that all information provided is correct. We shall not be liable for the incorrect entry of information or for any lost or incomplete orders.
2.6
We may, in our absolute discretion, refuse or cancel any order or withdraw any Tickets where we believe you (or any Guest) plan to offer a Ticket or Tickets for resale (or have resold any such Tickets) or where the purchase or use of such Tickets is otherwise in breach of these Terms.
2.7
Sales of Tickets are final. No changes, cancellation or exchange of any Tickets (or any element of Tickets) will be permitted, except in accordance with paragraph 4 below or as otherwise authorised and facilitated by us from time to time (in our absolute discretion).
Section 03

Tickets

3.1
All Tickets will be issued to you electronically by email to the email address you provided at the time of purchase. It is your responsibility to ensure you provide a valid email address.
3.2
Hard copy tickets will not be provided. You must follow the instructions in your confirmation email regarding how to access and present your Ticket at the Event.
3.3
You are solely responsible for safeguarding your confirmation email and Ticket. We shall not be liable for lost, stolen or deleted emails or Tickets. It may not be possible to reissue Tickets or confirmation emails.
3.4
If your confirmation email has not been received within 24 hours of purchase, please check your spam folder. If you still cannot locate it, contact us via [email protected] and we will investigate.
3.5
You are responsible for checking all Tickets immediately on receipt as mistakes made when ordering cannot necessarily be rectified later and any such corrections are discretionary. If there has been any mistake you must contact us via [email protected] without delay.
3.6
Each Ticket will grant to you or your Guest (as named) a personal right of entry to the Venue to attend and to occupy a space or seat at the Event.
3.7
Tickets shall remain the property of Red Media.
3.8
A valid Ticket must be produced to gain admission to the Venue (and if relevant your designated space or seat in the Venue).
3.9
Age restrictions may apply to specific Events and will be stated on the relevant event page on the Red Media Website. It is your responsibility to check any age restrictions before purchasing Tickets and to ensure that you and your Guests meet those requirements. We reserve the right to refuse admission to any person who does not meet the stated age restrictions for an Event.
3.10
You and your Guests must retain their Tickets at all times during the Event. Tickets and/or proof of identity and age may be required for inspection upon request at any time by our staff or representatives at the Venue.
3.11
If you or any of your Guests have accessibility requirements, please contact us via [email protected] as soon as possible after purchasing your Tickets, and in any event no later than 14 days before the Event. We will use reasonable endeavours to accommodate your requirements, but availability of accessible seating and facilities is determined by the Venue and cannot be guaranteed.
Section 04

Changes, Delays and Cancellations

4.1
You acknowledge that the Event may be subject to delays, interruptions, schedule changes, rescheduling, postponement, material alteration or cancellation. We will use our reasonable efforts to notify you of any such changes (using the contact information you provided). It is your responsibility to check whether the Event has been changed, and we cannot guarantee you will be informed before the original scheduled time of the Event.
4.2
If the start time of the Event is delayed, you will not be eligible for a refund.
4.3
If the Event commences but is interrupted after it begins, you will not be eligible for a refund.
4.4
If the Event is cancelled in full and not rescheduled, you will be entitled to a refund of the Ticket face value.
4.5
If the Event is postponed and rescheduled or materially altered, your Ticket will remain valid for the rescheduled or altered Event. If you are unable or do not wish to attend the rescheduled or altered Event, you may request a refund of the Ticket face value by notifying us at least 48 hours before the new Event date. Failure to notify us by this deadline will be deemed acceptance of your Ticket for the rescheduled or altered Event, and you will not be able to claim a refund.
4.6
The following are not considered material alterations entitling you to a refund: changes to any supporting act; changes to individual members of a band or group; changes to the line-up of any multi-performer event (such as a festival); adverse weather conditions; curtailment of the Event where the majority is performed; and delays to the starting time.
4.7
Any refund of the Ticket face value will be processed by us to the original payment method used for your purchase. Refunds will be processed within 14 days of your refund request being approved. Please contact [email protected] for further details on how to claim a refund. Please note: Booking fees, transaction fees and other service charges represent third party costs and may not be refundable.
4.8
If you purchased refund protection (as available) at checkout and are unable to attend the Event, you may request a refund of the Ticket face value in accordance with XCover’s terms and conditions.
Section 05

Health and Safety

5.1
When attending the Event, you must comply with any safety regulations and announcements and directions given from time to time by the staff and security personnel at the Venue.
5.2
You understand that there may be health and safety risks associated with attending any Event. We may require attendees to comply with specific health and safety measures for a specific Event. Any such requirements will be communicated to you in advance of the Event or upon entry to the Venue. However, we cannot be responsible for the behaviour of attendees. You attend the Event at your own risk and are responsible for your (and your Guests’) own safety.
5.3
You understand that we have the right, at our complete discretion, to:
5.3.1
refuse entry to any attendee who we reasonably believe may pose a health or safety risk to themselves or others;
5.3.2
require that any attendee leaves the Event where we reasonably believe that they may not be complying with these Terms or any health and safety guidelines in force.
Section 06

Liability

6.1
We do not guarantee the availability of the Red Media Website. We do not accept any liability for any losses or claims arising from any inability to access the Red Media Website or any interruption or any failure to complete a transaction.
6.2
If you do not (or any Guest does not) comply with these Terms, both we and the Venue may refuse admission or remove you (and any Guest) from the Venue at any time without refund.
6.3
You are responsible for making your own arrangements to attend the Event (and those of your Guests) including travel and accommodation. Unless any item is specifically referred to in the description of the Ticket (such as travel to and from a Venue), you should assume it is not provided. If the Event is cancelled, altered or postponed, we will not be responsible for any costs of travel, accommodation or other items of expenditure which you or your Guests have incurred.
6.4
We cannot guarantee an uninterrupted and/or uninhibited view of the Event and no representation or warranty is given as to the quality, content or duration of the Event.
6.5
Neither we nor the Venue are responsible for failures caused by events beyond our reasonable control, such as illness of key personnel, public disaster, pandemic, fire, strike, utility failure, severe weather, or government restrictions. This paragraph does not affect the terms of any paragraphs specifically providing for a right of refund.
6.6
If we fail to comply with these Terms, we will be responsible to you for any losses you suffer that are a foreseeable result of our failure, but we are not responsible for any losses set out in paragraph 6.7 or caused in the circumstances set out in paragraph 6.5. Loss is foreseeable if either it is obvious that it will happen or if, at the time the Tickets were purchased, both we and you knew it might happen.
6.7
Subject to paragraph 6.8, we will not be responsible in any way for any business or economic losses, loss of profit, loss of revenue, loss of contracts or loss of business opportunity. In any event, if you are a business, our maximum liability under these Terms is, subject to paragraph 6.8, to refund to you the price paid by you for the relevant Ticket.
6.8
We do not accept any liability for the acts or omissions of third parties or third party platforms, including those of the Ticketing Platform or any third party payment processor. However, nothing in these Terms shall reduce or limit our liability to you for death or personal injury caused by our negligence or breach of duty or for fraud.
6.9
Nothing in these Terms shall affect your statutory rights as a consumer.
Section 07

Personal Data

7.1
We will collect and use your personal data in accordance with our Privacy Policy, available on the Red Media Website. When you purchase a Ticket, your data will be collected via our Ticketing Platform and shared with us for the purposes of fulfilling your order, communicating with you about the Event, and (where you opt in) sending you information about future Red Media events and products.
7.2
We may share your personal data with our Ticketing Platform, payment processors (such as Stripe, PayPal and Square), and the Venue where necessary to process your booking, facilitate your attendance at the Event, or comply with legal obligations. These third parties process your data in accordance with their own privacy policies and applicable data protection laws.
7.3
Full details of how we collect, use and protect your personal data, and your rights in relation to that data, are set out in our Privacy Policy.
Section 08

Ticket Transfers and Resale

8.1
All Tickets are strictly non-transferable and must not be: sold; advertised for sale (whether on the internet, in newspapers or otherwise); transferred to any person who pays or agrees to pay for some other goods and/or services; nor offered as part of a package of goods or services.
8.2
If you purchase more than one Ticket, the Tickets may only be used by you, member(s) of your family, friend(s) or colleague(s) who are known to you personally and who intend to accompany you to the Event.
8.3
Tickets may not be used for advertising, promotion, auctions, fundraising or marketing purposes (including as prizes in competitions, contests or sweepstakes).
8.4
Tickets used for advertising, promotion, auctions, fundraising or marketing purposes without our authorisation (including in competitions, contests or sweepstakes) or otherwise used or transferred or obtained in breach of these Terms shall be voidable (at our discretion) and may be seized or cancelled without refund and without granting entry to the Venue.
Section 09

Prohibited and Restricted Items

9.1
You should take care of any personal property that you may bring with you and in no circumstances should you leave it unattended. We accept no responsibility for any loss or damage to personal property.
9.2
We and each Venue have the exclusive right to determine what objects may or may not be brought into the Venue by you or any Guest. In particular, you shall not (and shall ensure that any Guests do not) bring into the Venue:
9.2.1
weapons, firearms, ammunition, explosives or chemicals;
9.2.2
illegal drugs or substances;
9.2.3
items that could cause damage, injury or disruption;
9.2.4
animals (except assistance dogs with ID);
9.2.5
large bags, rucksacks or backpacks; or
9.2.6
any other items we or the Venue consider dangerous or disruptive.
9.3
We and the Venue shall have the right to confiscate any unauthorised materials or objects. Neither we nor the Venue will store confiscated and/or unauthorised material at the Venue and neither you nor your Guest will have any right for a confiscated item to be returned.
Section 10

Forbidden Behaviour

10.1
While at the Venue you will not (and will ensure that any Guest does not) engage in any conduct or activity that, in our view or the view of the Venue, creates a dangerous situation, interferes in any way with the orderly running of the Event, or disrupts the enjoyment of the Event by others. If you or any Guest acts in such a way or are otherwise in breach of any Venue regulations, we (and/or the Venue) may refuse admission to, or remove you or your Guest from, the Venue without refund.
Section 11

Filming, Photography and Recording

11.1
You consent (and shall ensure that your Guests consent) to being photographed, filmed or recorded, by us, by the Venue or by any third party appointed and/or authorised by us or them.
11.2
We, the Venue or third parties appointed and/or authorised by us or them shall have the right to broadcast, publish, licence and use any such photographs, films, recordings or images of you or your Guests in any and all media in perpetuity without requirement of the payment of money or other form of consideration. You consent (and shall ensure your Guests consent) to such use and waive (and shall ensure that your Guests waive) any rights to object to such recording, broadcasting or other dissemination on an irrevocable, worldwide perpetual basis.
11.3
Images, video and sound recordings of the Event taken by you or any Guest (Your Content) cannot be used for any purpose other than for private, domestic and social purposes and neither you nor any Guest may licence, broadcast or publish video and/or sound recordings, nor exploit images, video and/or sound recordings of the Event, including Your Content, for commercial purposes, nor may they be made available to third parties for commercial purposes. For the avoidance of doubt, you and your Guests may post Your Content on social media networks for non-commercial purposes.
11.4
You hereby grant (and shall ensure that your Guests grant) Red Media a non-exclusive, freely assignable, royalty-free and worldwide licence to use, exploit and distribute, for promotional and marketing purposes, any of Your Content which you or your Guests make public (including via any social media networks).
Section 12

Other Important Information

12.1
You and your Guests should allow sufficient time before the commencement of the Event to access the Venue. Every effort to admit latecomers will be made at a suitable break in an Event but admission cannot always be guaranteed.
12.2
If we or the Venue delay or fail to enforce any of these Terms it shall not mean that we or the Venue have waived our right to do so at any subsequent time.
12.3
Each paragraph of these Terms operates separately. If any of these Terms cannot be enforced for any reason this shall not prevent the remaining provisions from continuing to apply.
12.4
This contract is between you and us. No other person, apart from the Venue, shall have any rights to enforce any of its terms.
12.5
These Terms amount to the entire understanding between you and us in relation to your order.
12.6
The words “include” and “including” shall be construed as illustrative and shall not limit the sense of the words, description, phrase or term preceding those words.
12.7
The Terms are governed by English Law and any disputes arising out of any transaction with us are subject to the exclusive jurisdiction of the English Courts, unless you live in a part of the UK which is not England in which case you can choose whether to bring legal proceedings arising out of any transaction with us in the courts of the part of the UK where you live, or the English courts.
